UGO ANGELO DONINELLI
Director & Chairman of the Board

Ugo Angelo Doninelli is the longest serving Norsat board member with a tenure going back 20 years. He is General Manager and CEO of Prismafin S.A., an international investment organization with offices in Chiasso and Zurich, Switzerland, which manages a fund worth of $750 million. Mr. Doninelli, who lives in Zurich, exercises direction over the 1,985,575 Norsat common shares held by Prismafin S.A. He also serves as a Director for Nexmedia Technologies Inc., a multimedia software developer, and is one of the founders and Chairman of the Board of Lifeware, a third party administration business in the insurance industry. Mr. Doninelli also worked for more than 20 years at ABN AMRO Bank of The Netherlands as Director in charge of the foreign financial sector, and founded Telespace Communication SA of Toronto, which operates in the software field, and Tinet, an internet provider in Switzerland.

JOSEPH CAPRIO
Director & Chairman of the Compensation Committee

Joseph M. Caprio has 35 years of experience as a recognized organizational development expert. Mr. Caprio is a former Associate Dean at Colgate University and has served as a management consultant and as the operating officer of entrepreneurial businesses. Mr. Caprio, who lives in New York, is a strong proponent of the participative management philosophy of the American Management Association and has counseled a number of successful organizations. Mr. Caprio holds a BS degree in management from the University of Rhode Island, Kingston, RI and an MA degree from Colgate University, Hamilton, NY.

CHRISTOPHER HOYLE
Director

Christopher Hoyle of Cambridge, U.K., is an internationally recognized expert in telecommunications, reform and deregulation, and IT law. He has extensive experience in advising carriers and governments. Mr. Hoyle’s career has included service as an in-house legal advisor to IBM (UK) and more recently as a partner at a major London-based law firm. Previously, he was a partner at McGrigors, formerly KLegal, the legal arm of KPMG. Mr. Hoyle holds a Masters degree in Law from Cambridge University, an LLB (Hons) degree in Law from the University of Canterbury, New Zealand and a Diploma in Intellectual Property Law from the University of London.

JAMES SHARPE
Vice Chairman & Chairman of the Audit Committee

James Sharpe has about 25 years of senior-level management experience in the public and private sectors as a chief executive officer and as a chief financial officer for small to large, complex organizations. Mr. Sharpe, who lives in Seattle, is currently the President of Sharpe Associates, a Washington State firm that provides a wide spectrum of financial management services to small and medium-sized private firms and public entities. Mr. Sharpe has a strong record of financial management and organizational development. Under his leadership, many companies and significant government agencies have grown and prospered. While Chief Fiscal Officer of the North Slope Borough of Alaska, Mr. Sharpe’s efforts resulted in awards for sound financial management and reporting for eight years. Mr. Sharpe formerly worked for the Boeing Company as liaison with the U.S. Air Force and also was Budget Director for the Washington State Community College System. Mr. Sharpe holds a BA in accounting from the University of Washington School of Business, an MBA from Pepperdine University with an emphasis in management and finance, and a MS in international business by research from the University of Strathclyde in Glasgow, Scotland.
